Dwellings.TV LLC ("Dwellings.TV," "we," "us," or "our") is a Delaware limited liability company. The Service is available through Dwellings.TV websites, applications, connected television platforms, and related services, including the Roku platform (collectively, the "Service").

2. Acceptance of Terms

By accessing or using the Service, you agree to these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you should not access or use the Service.

3. Description of the Service

Dwellings.TV is a television-oriented property discovery and entertainment platform that allows users to browse real estate listing information in a video-style, lean-back format. Features may include filters such as ZIP code, city, price, bedrooms, and bathrooms; on-screen QR codes; advertising; and optional paid subscription services.

We may add, modify, suspend, or discontinue features at any time, subject to applicable law.

4. Real Estate Disclaimer

Dwellings.TV is not a real estate broker, brokerage, agent, REALTOR®, MLS operator, lender, mortgage broker, appraiser, title company, insurer, property manager, or property owner. We do not represent buyers or sellers and do not provide real estate, legal, tax, lending, investment, or appraisal advice.

Dwellings.TV does not facilitate, negotiate, or participate in the purchase, sale, lease, financing, or other transaction involving any property displayed through the Service.

5. Listing Information

Property information displayed through the Service may be supplied by third-party sources. It may include addresses, photographs, descriptions, prices, property characteristics, availability, or other information.

• Listing information may be inaccurate, incomplete, outdated, delayed, or changed without notice.
• A listing may be unavailable, under contract, sold, withdrawn, or otherwise different from the information displayed.
• Dwellings.TV does not independently verify every item of listing information.
• Users should independently verify important information with the applicable listing provider, broker, agent, owner, or other qualified professional before relying on it or making a decision.

6. Third-Party Websites and QR Codes

The Service may display QR codes, links, advertisements, or other pathways to third-party websites and services. Those destinations are controlled by third parties. Dwellings.TV does not control or guarantee their content, availability, accuracy, security, terms, privacy practices, or products and services.

Your interactions with third-party websites, including any inquiry about a property or transaction, are solely between you and the applicable third party.

7. Advertising

The free version of the Service may contain advertisements. Advertisements may be provided by Dwellings.TV or third-party advertising partners. We do not guarantee that advertisements will be relevant, accurate, or available at all times.

8. Subscriptions and Paid Services

Dwellings.TV may offer an optional paid subscription that removes advertising or provides other premium functionality. Subscription pricing, billing frequency, trial terms, renewal terms, and cancellation instructions will be disclosed at the time of purchase.

Unless otherwise stated at purchase, subscriptions may automatically renew until canceled. You are responsible for reviewing the purchase screen and managing cancellation through the applicable platform or billing provider.

Refunds are handled according to the policies of the applicable payment or platform provider, except where applicable law requires otherwise.

9. Eligibility and User Responsibilities

You may use the Service only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the security of any account credentials and for activity occurring through your account.

10. Prohibited Conduct

You agree not to:

• Use the Service for unlawful or fraudulent purposes.
• Interfere with or disrupt the Service or its technical infrastructure.
• Attempt to gain unauthorized access to systems, accounts, or data.
• Scrape, harvest, copy, or systematically extract Service content except as expressly permitted by law or authorized by Dwellings.TV.
• Use the Service to infringe intellectual property, privacy, publicity, or other rights.
• Misrepresent your identity or affiliation.
• Use automated means to access the Service in a way that imposes an unreasonable burden on the Service.

11. Intellectual Property

The Service, including its software, design, branding, trademarks, logos, text, graphics, and other materials owned or licensed by Dwellings.TV, is protected by applicable intellectual property laws. Except as expressly permitted, you may not reproduce, distribute, modify, reverse engineer, or create derivative works from Dwellings.TV materials.

12. Availability and Changes

The Service may be unavailable from time to time because of maintenance, technical problems, platform restrictions, third-party outages, or other circumstances. We do not guarantee uninterrupted or error-free operation.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DWELLINGS.TV LLC AND ITS OFFICERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF DWELLINGS.TV ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DWELLINGS.TV FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Dwellings.TV LLC and its officers, members, managers, employees, contractors, and agents from claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, unlawful use of the Service, or violation of another person's rights.

16. Termination

We may suspend or terminate access to the Service if we reasonably believe you have violated these Terms or applicable law, or when necessary to protect the Service, users, or third parties. Provisions that by their nature should survive termination will survive, including disclaimers, limitations of liability, indemnification, intellectual property provisions, and governing law.

17. Governing Law and Venue

These Terms and your use of the Service will be governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. To the extent a dispute is not subject to mandatory arbitration or another forum required by applicable law, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we may provide notice through the Service or by other reasonable means. The revised Terms will become effective on the date stated in the updated Terms. Continued use of the Service after the effective date constitutes acceptance of the revised Terms, to the extent permitted by law.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to enforce it later. These Terms and any policies expressly incorporated into them constitute the agreement between you and Dwellings.TV regarding the Service.
